1. Definitions

"Platform" means the Posting Suite website, web application, dashboards, APIs, and all related services.
"We," "Us," "Our" refers to Posting Suite, the operator of the Platform.
"You," "User" means any individual or entity accessing or using the Platform.
"Content" means any text, images, videos, carousels, reels, or other media created, uploaded, scheduled, or published through the Platform.
"Social Accounts" means third-party social media profiles connected to the Platform (e.g., Instagram, LinkedIn, X, TikTok, Facebook, Pinterest, YouTube).
"AI Services" means artificial intelligence features provided within the Platform for generating text, images, video structures, and other creative assets.
"Personal Data" has the meaning given to it under the General Data Protection Regulation (EU) 2016/679 ("GDPR") and applicable local privacy laws.

2. Acceptance of Terms

By accessing, registering for, or using the Platform, You agree to be bound by these Terms and Conditions. If You do not agree to all terms herein, You must not use the Platform. These Terms constitute a legally binding agreement between You and Posting Suite.

If You are using the Platform on behalf of a business or organization, You represent that You have authority to bind that entity to these Terms.

3. Eligibility

You must be at least 18 years old (or the age of legal majority in Your jurisdiction) to use the Platform. By using the Platform, You represent and warrant that You meet this requirement. We do not knowingly collect data from or provide services to children under 16.

4. Account Registration and Security

4.1 Registration
To access certain features, You must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated.

4.2 Credentials
You are responsible for maintaining the confidentiality of Your account credentials and for all activities that occur under Your account. You must notify Us immediately of any unauthorized use or security breach.

4.3 Social Account Authorization
When You connect Social Accounts to the Platform, You grant Us permission to access and manage those accounts via OAuth tokens or API keys, strictly limited to the permissions You approve. You may revoke this access at any time through the respective social platform's settings or by disconnecting the account within the Platform.

5. Subscription, Billing, and Payments

5.1 Plans and Pricing
The Platform may offer free and paid subscription plans. Features, limits, and pricing are described on the Platform and are subject to change with notice.

5.2 Billing
Paid subscriptions are billed in advance on a recurring basis (monthly or annually). You authorize Us to charge Your chosen payment method. All fees are non-refundable except where required by law or as explicitly stated in Our refund policy.

5.3 Cancellation
You may cancel Your subscription at any time through Your account settings. Cancellation takes effect at the end of the current billing period. Upon cancellation, Your access to paid features will be downgraded or terminated according to the plan terms.

5.4 Taxes
You are responsible for all applicable taxes, levies, or duties imposed by any jurisdiction.

6.2 Service Availability

We aim to provide high availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable for maintenance, updates, or factors beyond Our control. We reserve the right to modify, suspend, or discontinue features with reasonable notice.

6.3 Third-Party Dependencies

Our ability to publish Content or retrieve analytics depends on third-party social media platforms and their APIs. We are not liable for disruptions, changes, or terminations caused by these third parties.

7. AI-Generated Content

7.1 Nature of AI Services

AI Services are provided to assist Your creative process. AI-generated output may not be accurate, unique, or appropriate for all contexts. You are solely responsible for reviewing, editing, and approving any AI-generated Content before publication.

7.2 No Guarantee of Originality

We do not guarantee that AI-generated Content is free from similarities to existing works or that it will not infringe third-party rights. You assume all risks associated with using AI-generated Content.

7.3 Acceptable Use of AI

You may not use AI Services to generate illegal, harmful, deceptive, hateful, discriminatory, sexually explicit, or violative Content. We reserve the right to suspend access to AI features for misuse.

8. User Content and Data

8.1 Ownership

You retain all ownership rights to Content You upload or create through the Platform. By using the Platform, You grant Us a limited, non-exclusive, royalty-free license to process, store, and transmit Your Content solely for the purpose of providing the services You request.

8.2 Responsibility for Content

You are solely responsible for the legality, accuracy, and appropriateness of all Content published through the Platform. You represent that You have all necessary rights, permissions, and consents to publish such Content.

8.3 Prohibited Content

You may not use the Platform to publish, store, or distribute Content that:
Violates any applicable law or regulation;
Infringes intellectual property, privacy, or publicity rights;
Is defamatory, obscene, harassing, or threatening;
Contains malware, viruses, or harmful code;
Violates the terms of service of any connected Social Account platform.

8.4 Content Removal

We reserve the right to remove or refuse to publish Content that violates these Terms or applicable law, or that we reasonably believe may expose Us or others to liability.

9. Data Protection and Privacy

9.1 GDPR Compliance

We comply with the General Data Protection Regulation (GDPR) for Users in the European Economic Area (EEA) and the United Kingdom. Our processing of Personal Data is based on one or more lawful grounds: performance of a contract, legitimate interests, legal obligation, or consent.

9.2 Roles

Data Controller: For Personal Data collected directly from Users (e.g., account registration, billing information), Posting Suite acts as the data controller.

Data Processor: Where You upload Personal Data of third parties (e.g., customer lists, audience data), You act as the data controller and We act as a data processor, processing such data only on Your instructions.

9.3 Data Subject Rights

If You are located in the EEA, UK, or another jurisdiction granting similar rights, You have the right to:

Access Your Personal Data;
Rectify inaccurate or incomplete data;
Erase Your Personal Data ("right to be forgotten");
Restrict or object to processing;

Data portability;

Withdraw consent at any time (where processing is based on consent).

9.4 Data Retention

We retain Personal Data only as long as necessary to fulfill the purposes for which it was collected, including legal, accounting, or reporting requirements. When Your account is deleted, We will securely erase or anonymize Your Personal Data within a reasonable timeframe, except where retention is required by law.

9.5 Security

We implement appropriate technical and organizational measures (encryption, access controls, firewalls) to protect Personal Data against unauthorized access, loss, or alteration. In the event of a Personal Data breach, We will notify affected Users and applicable regulators as required by law.

Your data may be transferred to and processed in countries outside Your jurisdiction, including Pakistan. Where such transfers involve EEA/UK data, We ensure appropriate safeguards are in place, such as Standard Contractual Clauses (SCCs) or adequacy decisions, to ensure an equivalent level of protection.

10. Intellectual Property

All rights, title, and interest in the Platform, including software, designs, trademarks, logos, and AI models, are owned by Posting Suite or its licensors. These Terms do not grant You any license to Our intellectual property except as necessary to use the Platform.

10.2 Feedback

Any feedback, suggestions, or ideas You provide may be used by Us without obligation or compensation.

11. Acceptable Use and Prohibited Conduct

You agree not to:

Use the Platform for any illegal purpose or in violation of any applicable law;
Interfere with or disrupt the Platform, servers, or networks;
Attempt to gain unauthorized access to the Platform or other users' accounts;
Use automated scripts, bots, or scrapers to access the Platform;
Resell, sublicense, or commercially exploit the Platform without authorization;
Circumvent any usage limits or security measures;
Violate the terms of service of any integrated third-party platform.

Violation of this section may result in immediate suspension or termination of Your account.

12. Third-Party Services and Integrations

The Platform integrates with third-party social media platforms and services. Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the practices, content, or availability of third-party services. We may remove or modify integrations at any time.

13. Termination

13.1 By You

You may terminate Your account at any time by following the account deletion process within the Platform or by contacting support.

13.2 By Us

We may suspend or terminate Your account if You violate these Terms, fail to pay fees when due, or if required by law. We will provide notice where practicable.

13.3 Effect of Termination

Upon termination, Your right to use the Platform ceases immediately. We may retain certain data as required by law or for legitimate business purposes (e.g., billing records). Content scheduled for future publication may be cancelled.

14. Disclaimers and Limitation of Liability

14.1 "As Is" Basis

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

14.2 No Guarantee of Results

We do not guarantee specific engagement, follower growth, or business outcomes from using the Platform.

14.3 Limitation of Liability

To the maximum extent permitted by law, Posting Suite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, arising out of or related to Your use of the Platform. Our total liability shall not exceed the amount You paid Us in the 12 months preceding the event giving rise to liability, or USD 100 if no payments were made.

14.4 Exceptions

Nothing in these Terms limits or excludes liability for:
Death or personal injury caused by negligence;
Fraud or fraudulent misrepresentation;
Any liability that cannot be excluded under applicable law.

15. Indemnification

You agree to indemnify and hold harmless Posting Suite, its affiliates, officers, and employees from any claims, damages, losses, or expenses (including legal fees) arising out of:
Your use of the Platform;
Your Content;
Your violation of these Terms or third-party rights;
Your violation of any applicable law or regulation.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of Pakistan, without regard to conflict of law principles.

16.2 Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the Arbitration Act, 1940 (Pakistan) or its successor legislation, or resolved in the courts of Sheikhpura, Pakistan.

16.3 EU/UK Consumers

If You are a consumer resident in the European Union or United Kingdom, You retain the right to bring claims in the courts of Your country of residence. Mandatory consumer protection laws in Your jurisdiction shall not be overridden.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or through the Platform at least 30 days before taking effect. Your continued use of the Platform after changes constitutes acceptance. If You do not agree to the changes, You must stop using the Platform.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with any applicable policies referenced herein, constitute the entire agreement between You and Posting Suite regarding the Platform.
